3. Our Resources

3.1. Our Resources are designed to assist Australian businesses with common human resources, employment and workplace management matters.

3.2. Resources may be offered as individual documents, document bundles, toolkits or free downloads. The contents and intended purpose of each Resource will be described on the relevant product page.

3.3. Unless expressly stated otherwise, Resources are supplied as digital downloads. No physical products are provided.

3.4. Resources are provided as general information and practical starting points. They are not a substitute for advice tailored to your business, employees or circumstances.

3.5. While we take reasonable care in preparing our Resources, we do not warrant that a Resource will be suitable for every business, industry, employment arrangement or workplace situation.

3.6. Employment laws, industrial instruments, workplace requirements and regulatory guidance may change. Customers are responsible for determining whether a Resource remains appropriate and complies with the requirements applicable to their circumstances at the time of use.

3.7. We may update, amend, replace or discontinue Resources from time to time. Unless expressly stated otherwise, purchasing a Resource does not entitle you to future updates, replacement versions or ongoing access to revised materials.

4. No Legal or Individualised HR Advice

4.1. Purchasing or downloading a Resource does not create a consulting, advisory or client relationship between the Customer and Edwards HR.

4.2. Our Resources do not constitute legal advice, financial advice or individualised HR advice. They are not intended to provide a definitive answer or solution for every employment or workplace situation.

4.3. Customers are responsible for reviewing and adapting each Resource to reflect their business operations, workforce, applicable legislation, modern awards, enterprise agreements, employment contracts and other relevant requirements.

4.4. Some workplace matters involve significant legal or operational risks. Examples may include employee termination, redundancy, workplace investigations, disciplinary action, discrimination, workplace harassment and complex performance management matters. We recommend obtaining appropriate professional advice before acting in these circumstances.

4.5. We do not guarantee that using a Resource will achieve a particular outcome, prevent a claim or dispute, or ensure compliance with every applicable legal requirement.

5. Orders and Payment

5.1. Prices are displayed on the relevant product page and are payable at checkout.

5.2. Unless otherwise stated, prices are in Australian dollars (AUD) and include GST.

5.3. Payment must be successfully processed before access to a paid Resource is provided.

5.4. You must ensure that the information provided during checkout is accurate and complete.

5.5. We reserve the right to correct pricing or product description errors and to cancel an order where permitted by law. If payment has already been taken for an order we cancel, we will provide an appropriate refund.

6. Delivery and Download Access

6.1. Resources will generally be made available through a download link, email or other electronic delivery method specified at checkout.

6.2. You are responsible for providing a valid email address, maintaining access to your email account and ensuring that your device and software are capable of opening the supplied file formats.

6.3. If you do not receive your download or experience a technical issue accessing a purchased Resource, please contact us via admin@edwardshr.com.au. We will take reasonable steps to assist.

6.4. Download links, account access and files may be subject to technical limitations, security controls or availability requirements. We do not guarantee uninterrupted access to the Website or download facilities.

6.5. You are responsible for securely storing your downloaded Resources and maintaining your own backup copies for permitted use.

7. Intellectual Property and Permitted Use

7.1. Unless otherwise stated, all intellectual property rights in our Resources, including copyright, remain with Edwards HR or the relevant rights holder. Purchasing a Resource does not transfer ownership of its intellectual property to you.

7.2. Subject to these Terms and Conditions, we grant the Customer a non-exclusive, non-transferable licence to download, use and adapt the purchased Resource for the Customer’s own internal business purposes.

7.3. The licence permits the Customer to:

a) save and retain a copy of the Resource for internal business use;

b) edit and adapt the Resource to reflect the Customer’s business name, operations, policies and circumstances;

c) reproduce and use the Resource internally, including providing relevant copies to the Customer’s employees, managers and authorised representatives who need access to it for legitimate business purposes; and

d) use the completed or adapted document in managing the Customer’s own employment and workplace matters.

7.4. Unless we provide prior written permission, the Customer must not:

a) resell, sublicence, distribute, publish or commercially exploit a Resource, whether in its original or modified form;

b) share, transfer or provide a Resource to another business, organisation, client or unrelated third party for their own use;

c) upload or make a Resource available through a public website, shared resource library, online marketplace or other publicly accessible platform;

d) remove copyright notices, ownership statements or other intellectual property notices;

e) reproduce or incorporate a Resource into a product or service that is sold, licensed or supplied to others as a template, toolkit or similar resource; or

f) represent a Resource as having been independently created by the Customer or another person.

7.5. Where a Resource is purchased by a company or other organisation, the licence applies to that purchasing organisation. It does not automatically extend to related companies, subsidiaries, franchisees, clients or other separate legal entities.

7.6. A consultant, HR adviser or other professional purchasing a Resource may use it for their own internal business purposes but must not provide the original or an adapted template to a client for the client’s independent use unless expressly permitted in writing by Edwards HR.

7.7. If you require a broader licence, including use across multiple entities or provision to clients, please contact us to discuss permission and any applicable licensing fees.

7.8. The above restrictions do not prevent use that is expressly authorised by us or permitted by applicable law.

8. Free Resources

8.1. We may make selected Resources available free of charge.

8.2. Unless otherwise specified, the same intellectual property, permitted-use and disclaimer provisions in these Terms and Conditions apply to free Resources.

8.3. Free Resources may be offered subject to additional conditions disclosed at the point of download.

8.4. We may amend, replace or withdraw free Resources at any time, subject to applicable law.

9. Refunds and Consumer Guarantees

9.1. We encourage Customers to review the product description, included documents, file formats and intended use of a Resource before purchasing.

9.2. Due to the digital nature of our Resources, we do not ordinarily offer refunds simply because a Customer changes their mind, purchases the wrong Resource, decides they no longer need it or has downloaded a Resource.

9.3. Nothing in these Terms and Conditions excludes, restricts or modifies any rights or remedies available to a Customer under the Australian Consumer Law or other applicable legislation that cannot lawfully be excluded, restricted or modified.

9.4. If a Resource is defective, is not supplied as described or otherwise fails to meet an applicable consumer guarantee, the Customer may be entitled to a remedy under the Australian Consumer Law. The appropriate remedy will depend on the circumstances and the nature of the failure.

9.5. If you experience a problem with a purchase, please contact us with your order details and a description of the issue. We will assess the matter and provide any remedy required by law.

10. Customer Responsibilities

10.1. You are responsible for determining whether a Resource is appropriate for your business and the particular circumstances in which it will be used.

10.2. You must review each Resource before using it, complete any relevant fields, remove instructions or placeholders that are not intended to remain in the final document, and adapt its contents as necessary.

10.3. You are responsible for decisions made using our Resources and for the way those decisions are implemented in your workplace.

10.4. You must ensure that the use of a Resource is consistent with applicable laws, industrial instruments, contractual obligations and your own workplace policies and procedures.

10.5. Where a Resource involves employee information or other personal information, you are responsible for handling that information in accordance with your applicable privacy, confidentiality and recordkeeping obligations.

11. Limitation of Liability

11.1. To the maximum extent permitted by law, we exclude liability for loss or damage arising from the Customer’s use of, inability to use, or reliance on a Resource, including where the Customer has failed to review, adapt or apply the Resource appropriately.

11.2. We are not responsible for decisions made by the Customer, employment actions taken using a Resource, or consequences arising from the Customer’s failure to obtain advice where appropriate.

11.3. We do not exclude or limit liability where doing so would be unlawful, including any rights or remedies that cannot be excluded under the Australian Consumer Law.

11.4. Where a limitation of liability is permitted by law, it applies only to the extent legally permitted and does not affect any non-excludable consumer guarantees or other statutory rights.

12. Website Availability and Security

12.1. We take reasonable steps to maintain the availability and security of the Website and its download facilities.

12.2. We do not guarantee that the Website will always be available, error-free or compatible with every device, browser or software application.

12.3. Customers are responsible for maintaining appropriate security measures on their own devices and systems, including suitable antivirus protection and secure storage of downloaded files.

12.4. If a technical issue prevents access to a purchased Resource, please contact us so we can investigate and, where reasonably possible, provide an alternative means of access.

12.5. While we take reasonable measures against malware, viruses, other harmful code or similar, to the extent the law permits, no warranty is given that our correspondence, data, documents or similar will be free from these.

13. Privacy

13.1. We collect and handle personal information in accordance with our Privacy Policy, which you can read here.

13.2. Customers should review our Privacy Policy to understand how personal information is collected, used, stored and disclosed in connection with purchases, downloads, customer enquiries and other interactions with us.

13.3. These Terms and Conditions should be read together with our Privacy Policy and any other applicable notices displayed on the Website.

14. Changes to These Terms and Conditions

14.1. We may update these Terms and Conditions from time to time to reflect changes to our business, products, website operations or applicable legal requirements.

14.2. The current version will be published on the Website.

14.3. Changes will apply to purchases made after the updated Terms and Conditions take effect. Unless otherwise agreed or required by law, changes will not retrospectively alter the terms applying to an earlier purchase.

15. Governing Law

15.1. These Terms and Conditions are governed by the laws of Queensland, Australia, and the applicable laws of the Commonwealth of Australia.

15.2. Subject to any applicable law, the parties submit to the jurisdiction of the courts of Queensland and any courts competent to hear appeals from those courts.

15.3. Nothing in this clause limits any rights a Customer may have under applicable consumer protection laws.
